We know it's tempting to skip these Terms and Conditions, but it's important to establish what you can expect from Kilimora as you use our services, and what we expect from you.
These Terms and Conditions reflect the way Kilimora's work operates, the laws that apply to our organisation, and the principles that have guided us since we were founded. They help define Kilimora's relationship with you as you interact with our services. These terms include:
- What you can expect from us — how we provide and develop AgriKonnekt and our other services
- What we expect from you — the rules for using our platform and services responsibly
- Content in Kilimora services — intellectual property rights over content you find in our services, whether that content belongs to you, Kilimora, or others
- In case of problems or disagreements — your legal rights and what to expect if these terms are violated
Understanding these terms is important because, by accessing or using our services, you are agreeing to these terms.

When we speak of "Kilimora," "we," "us," or "our," we mean Kilimora Company Limited by Guarantee and any affiliated programmes it operates.
Age Requirements
To use AgriKonnekt and Kilimora advisory services independently, you must be at least 18 years of age.
If you are under 18, you may only use our services with the explicit permission and active involvement of a parent, legal guardian, or a registered cooperative leader who has agreed to these terms on your behalf. In that case, the adult or cooperative leader is responsible for your activity and any data submitted through the platform.
Some components of AgriKonnekt — including USSD interfaces and feature-phone tools — are designed for cooperative member use. Cooperatives that enrol members must ensure that any members under 18 have appropriate supervision and that all data submitted reflects actual field conditions.
Your Relationship with Kilimora
These terms help define the relationship between you and Kilimora. Broadly speaking, Kilimora gives you permission to access and use our services if you agree to follow these terms.
Kilimora operates as a research and product development social enterprise. Our services are designed to close the gap between smallholder farmers, agri-SMEs, cooperatives, and the global climate finance market. We earn operational revenue through advisory engagements, grant funding, and platform partnerships — not through advertising or the sale of user data.
Using our services on behalf of a cooperative or organisation
Many cooperatives, agri-enterprises, and research institutions use AgriKonnekt and our advisory services. To use our services on behalf of an organisation:
- An authorised representative of the organisation must agree to these terms
- The organisation's administrator may assign platform access to members — those administrators may set additional rules and may be able to view or manage member data in accordance with their cooperative's governance
- The organisation remains responsible for ensuring members understand these terms
What You Can Expect From Us
A broad range of useful services
Kilimora provides services subject to these terms, including:
Develop, improve, and update our services
We are constantly developing new features and improving our platform. This may include adding or removing features, adjusting service limits, or launching new tools. Where software or platform tools update automatically, this will be done to improve performance or address security issues.
If we make material changes that negatively impact your use of our services, or if we discontinue a service, we will provide reasonable advance notice — except in urgent situations such as preventing abuse or addressing security risks. We will also provide a path to export your field data where technically feasible.
What We Expect From You
Follow these terms
Permission to access and use Kilimora services continues as long as you comply with these terms, any service-specific terms we publish, and any additional instructions within the platform itself.
Respect others
We want to maintain a respectful environment for all users — farmers, cooperative members, extension officers, researchers, and partners. You must:
- Comply with applicable Kenyan law and relevant international frameworks
- Respect the rights of others, including privacy and intellectual property rights
- Not abuse, harm, or threaten others through your use of the platform
- Not misrepresent your identity, cooperative affiliation, or field conditions
Submit accurate data
AgriKonnekt relies on the integrity of field data submitted by farmers and enumerators. You are responsible for ensuring that all data you submit — including plot measurements, crop types, farming practices, and yield figures — is accurate to the best of your knowledge. Submitting false or manipulated data to inflate carbon credit estimates is a serious breach of these terms and may expose you to legal liability.
Don't abuse our services
You must not abuse, harm, interfere with, or disrupt Kilimora systems or services. Specifically, you must not:
- Introduce malware or attempt to compromise the AgriKonnekt platform or its data pipelines
- Scrape, copy, or redistribute platform data, research outputs, or MRV methodology frameworks without authorisation
- Reverse engineer the platform, carbon scoring algorithms, or proprietary methodologies
- Create fake cooperative or farmer accounts to generate illegitimate carbon credits
- Access or use our services in fraudulent or deceptive ways
- Use our research outputs to develop competing products or AI models without express written permission
Platform & Content Use
Your content
You retain ownership of any content and data you submit through Kilimora services — including field measurements, farm observations, photographs, crop records, and cooperative information. You have no obligation to provide any content to our services and you are free to choose what you provide.
License you grant Kilimora
By submitting data through AgriKonnekt or our advisory services, you grant Kilimora a limited, worldwide, non-exclusive, royalty-free licence to:
- Store, process, and analyse your field data for the purpose of generating MRV reports and carbon credit calculations
- Use your data, in anonymised and aggregated form, to improve platform algorithms and publish research findings
- Share aggregated, anonymised data with carbon credit verifiers, funders, and research partners as required to fulfil our MRV obligations
- Retain a record of your data submissions for the duration required by applicable carbon standards and funding compliance requirements
This licence does not permit Kilimora to sell your individual, identifiable data to third parties, use your data for advertising, or share your personal information except as described in our Privacy Policy.
Kilimora's content
Some Kilimora services include content that belongs to Kilimora — research briefs, methodology documents, MRV frameworks, platform code, and visual materials. You may use Kilimora's content as permitted by these terms, but we retain all intellectual property rights in that content. Do not remove, obscure, or alter Kilimora branding or legal notices.
Third-party content
Some services may give you access to content from third parties — such as research papers, satellite imagery providers, or partner publications. You may not use this content without that party's permission or as otherwise permitted by law.
Intellectual Property
Kilimora holds intellectual property rights in the following assets, all of which are protected under Kenyan and international law:
- Patent WFP2026000162 — Integrated Climate Wallet System with Dual Verification for Carbon Credit Generation and Trade Access, filed with the Kenya Industrial Property Institute. PCT international filing is in progress.
- AgriKonnekt platform — all software, algorithms, data structures, carbon scoring models, USSD flows, and AI components
- MRV methodology frameworks — Kilimora's proprietary field measurement and verification protocols developed through field research with farmer cooperatives
- Research publications and data syntheses — all written research output published under the Kilimora name
- Brand assets — the Kilimora name, logo, AgriKonnekt name, and all associated visual identity elements
Although we give you permission to use our services, we retain all intellectual property rights in those services. Any permitted use that you make of our platform or research must include appropriate attribution to Kilimora CLG.
Warranty & Disclaimers
Warranty
We provide our services using reasonable skill and care. If our services do not meet this standard and you notify us, we will work with you to resolve the issue promptly.
Disclaimers
The only commitments Kilimora makes about our services are provided in this Warranty section, any service-specific terms, and applicable Kenyan law. Beyond these, we disclaim all other warranties to the maximum extent permitted by law.
- Carbon credit projections are estimates only. Financial projections, carbon sequestration calculations, and yield estimates generated through AgriKonnekt are based on field data provided by users. They are indicative only and do not constitute a guarantee of income, carbon credit issuance, or financial outcome.
- Advisory is professional opinion, not legal or financial advice. Kilimora advisory services represent the professional opinions of our team. They do not constitute legal advice, financial advice, or investment recommendations. Engage qualified legal and financial professionals for those decisions.
- Platform availability. We do not guarantee uninterrupted access to AgriKonnekt, particularly in low-connectivity environments. Scheduled maintenance will be communicated in advance where possible.
- Research outputs. Research published by Kilimora reflects our best understanding at time of publication and may be updated as new evidence emerges. Do not rely on research publications as definitive scientific authority without independent verification.
Liabilities
For all users
These terms limit responsibilities as permitted by applicable Kenyan law. These terms do not limit liability for:
- Fraud or fraudulent misrepresentation by Kilimora
- Death or personal injury caused by Kilimora's negligence
- Gross negligence or wilful misconduct
Kilimora is not liable for:

| Force majeure | Service disruptions caused by events outside Kilimora's reasonable control, including drought, flooding, civil unrest, or infrastructure failure |
For organisations and business users
If you are a cooperative, enterprise, or institutional user, you agree to indemnify Kilimora against any third-party legal proceedings arising from your unlawful use of our services, misrepresentation of data, or violation of these terms.
Governing Law & Disputes
These terms and any disputes arising from them are governed by the Laws of Kenya, including but not limited to:
- The Companies Act, 2015 (Kenya)
- The Data Protection Act, 2019 (Kenya)
- The Kenya Industrial Property Act, 2001
- The Consumer Protection Act, 2012 (Kenya)
Any disputes that cannot be resolved through good-faith negotiation between you and Kilimora will be submitted to the courts of Nairobi County, Kenya, which shall have exclusive jurisdiction over all claims relating to these terms or our services.
If applicable local law prevents certain disputes from being resolved in Nairobi courts, or prevents the application of Kenyan law, those disputes will be governed by the laws of the applicable jurisdiction, and Kilimora reserves the right to seek appropriate relief wherever it operates.
Updates to These Terms
We may update these terms and any service-specific terms in the following circumstances:
- To reflect changes in our services or how we operate — such as when we add new platform features, launch new advisory tracks, or discontinue existing tools
- For legal, regulatory, or compliance reasons — including changes to Kenyan data protection law, carbon standards, or our patent status
- To prevent misuse, fraud, or harm to our platform or the communities we serve
If we make material changes to these terms, we will provide you with reasonable advance notice — via email to registered users, via the platform interface, or via notice on our website — except where urgent circumstances require immediate action (such as preventing active fraud or complying with a court order).
If you do not agree to updated terms, you should discontinue use of the relevant services. Continued use of Kilimora services after notice of changes constitutes acceptance of the revised terms.
